Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Joy Hubs, operated by Kunming Jiehui Technology Co., Ltd., located at Room 608, Building 3, Huidu International, No. 131 Baita Road, Panlong District, Kunming City, Yunnan Province, 650000, China. By accessing our website at www.joyhub.surf or using our computer systems design and integration services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Services Description

Joy Hubs provides professional computer systems design and related services, including but not limited to computer integrated systems design, technical consulting, scientific and technical services, system architecture planning, platform integration, cloud migration, data analytics, cybersecurity solutions, DevOps automation, and IoT implementations. Our services are provided to businesses and organizations in accordance with specific service agreements, project scopes, and technical specifications agreed upon with each client. The exact nature, scope, and deliverables of services will be defined in separate service agreements or statements of work.

User Obligations

When using our services, you agree to provide accurate, current, and complete information as required for service delivery. You are responsible for maintaining the confidentiality of any account credentials, passwords, or access codes provided to you. You must notify us immediately of any unauthorized use of your account or any other breach of security. You agree to use our services only for lawful purposes and in accordance with these Terms of Service. You will not use our services to transmit any harmful code, viruses, or malicious software, engage in any activity that interferes with or disrupts our services or servers, attempt to gain unauthorized access to our systems or networks, or violate any applicable local, national, or international laws or regulations.

Intellectual Property Rights

All content, materials, software, code, designs, documentation, and intellectual property created by Joy Hubs in the course of providing services remain our property unless explicitly transferred through a written agreement. We grant you a limited, non-exclusive, non-transferable license to use deliverables provided under specific service agreements for your internal business purposes. You retain ownership of your data, content, and pre-existing intellectual property provided to us for the purpose of service delivery. Any improvements, modifications, or derivative works created by us based on your intellectual property will be subject to the terms of the applicable service agreement. You agree not to reverse engineer, decompile, or disassemble any proprietary software or systems provided by us unless explicitly permitted by law or written agreement.

Payment Terms

Fees for our services will be specified in individual service agreements or proposals. Payment terms, schedules, and methods will be outlined in the applicable service agreement. Unless otherwise specified, invoices are due within thirty days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend or terminate services for non-payment. You are responsible for all taxes, duties, and fees associated with your use of our services, excluding taxes based on our net income. All fees are non-refundable unless explicitly stated otherwise in the service agreement.

Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of our business relationship. Confidential information includes technical data, business information, client lists, pricing, methodologies, source code, and any information marked as confidential or that should reasonably be considered confidential. Each party agrees to protect confidential information with the same degree of care used to protect its own confidential information, but no less than reasonable care. Confidential information may only be disclosed to employees, contractors, or advisors who have a legitimate need to know and who are bound by confidentiality obligations. These obligations do not apply to information that is publicly available, independently developed, rightfully received from a third party, or required to be disclosed by law.

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, except as expressly stated in a service agreement, our services and website are provided on an as-is and as-available basis. We make no warranties, express or implied, regarding the accuracy, reliability, or completeness of any information or services. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure. You acknowledge that computer systems and software are complex and may contain defects, and that complete security cannot be guaranteed.

Limitation of Liability

To the maximum extent permitted by law, Joy Hubs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use our services. Our total liability for any claims arising out of or relating to these Terms of Service or our services shall not exceed the amount paid by you to us in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Joy Hubs and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees arising from your use of our services, your violation of these Terms of Service, your violation of any rights of another party, or your violation of any applicable laws or regulations. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

Term and Termination

These Terms of Service remain in effect while you use our services. Either party may terminate a service agreement in accordance with the termination provisions specified in that agreement. We reserve the right to suspend or terminate your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms of Service. Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms of Service or our services shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty days, it shall be submitted to arbitration in Kunming, China, in accordance with the arbitration rules of the China International Economic and Trade Arbitration Commission. The arbitration shall be conducted in Chinese or English as agreed by the parties. The arbitration award shall be final and binding on both parties.

Changes to Terms

We reserve the right to modify or replace these Terms of Service at any time at our sole discretion. We will provide notice of material changes by updating the date at the top of these Terms of Service and, where appropriate, through additional notification methods such as email or website notice. Your continued use of our services after any changes constitutes acceptance of the modified Terms of Service. We encourage you to review these Terms of Service periodically for any updates.

General Provisions

These Terms of Service, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Joy Hubs regarding the use of our services. If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms of Service will not be considered a waiver of those rights. We may assign our rights and obligations under these Terms of Service to any party at any time without notice to you. You may not assign your rights or obligations without our prior written consent.
